Terms of Service

1. Acceptance of Terms

By accessing or using TapReview (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you are using the Service on behalf of a business, you confirm that you have authority to bind that business to these Terms. If you do not agree, you may not use the Service.

2. Definitions

"Service" means the TapReview platform, including the website, business dashboard, customer-facing scan flow, and related applications. "Customer" means the paying business that subscribes to the Service. "End Customer" means an individual who interacts with the Service via a Customer's QR code, NFC standee, or other entry point. "Content" means any data, text, reviews, or other material submitted to or generated by the Service. "Subscription" means a paid plan of the Service.

3. Account & Registration

You must be at least 18 years old and authorized to act on behalf of your business to register an account. You agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. We allow one account per business unless otherwise agreed in writing.

4. Subscription, Billing & Refunds

Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Subscriptions auto-renew at the end of each billing period unless you cancel before renewal. You may cancel at any time, with cancellation effective at the end of the then-current billing period. We do not provide refunds for unused portions of a paid subscription period. Free trials may be cancelled any time before the trial ends without charge. We may modify pricing with at least 30 days' notice; price changes take effect on your next renewal.

5. Acceptable Use

You agree not to use the Service to: send spam, generate fake or misleading reviews, impersonate any person or business, scrape data, reverse-engineer or attempt to derive source code, abuse AI generation capabilities (including mass-generating reviews for businesses you do not own or operate), violate the terms of service of any third-party platform (including Google's Business Profile policies), or violate any applicable law or regulation. We reserve the right to investigate and take appropriate action against violations.

6. Customer Responsibilities

As a Customer using the Service, you are responsible for: (a) obtaining explicit consent from your End Customers before collecting their phone number, email, or other personal information through the Service; (b) complying with all applicable laws when contacting End Customers. including the Digital Personal Data Protection Act, 2023, applicable anti-spam laws, and TRAI regulations governing SMS where applicable; (c) ensuring your use of the Service complies with Google's Business Profile and Google Maps policies; (d) providing accurate and current business information; (e) not requesting reviews from individuals who have not actually used your business; (f) reviewing and editing AI-generated review drafts before they are submitted to any platform.

7. Intellectual Property

We own all rights, title, and interest in and to the Service. including all software, designs, AI models, brand elements, and proprietary technology. You retain ownership of your Content. By submitting Content to the Service, you grant us a limited, non-exclusive, royalty-free license to host, display, process, and use that Content solely as needed to deliver the Service to you. You may not copy, modify, distribute, sell, or lease any part of the Service.

8. AI-Generated Content

The Service generates AI-drafted review text as a starting point for End Customers. AI output is provided as-is. The accuracy, appropriateness, truthfulness, originality, and compliance with platform rules (including Google's review policies) of any AI-generated content is the responsibility of the user posting that content. We make no warranty that AI output will be acceptable on Google's platform, will result in a successful review submission, or will achieve any specific outcome. Customers and End Customers are responsible for reviewing and editing AI-generated content before publication on any platform.

9. Service Availability

We aim for high availability but make no service-level guarantees on free or standard plans. Scheduled maintenance windows may apply and we will use reasonable efforts to provide advance notice. Enterprise customers may negotiate separate service-level terms in writing. We are not liable for service interruptions caused by third-party platforms, infrastructure providers, internet outages, or other factors beyond our reasonable control.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties. including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, uninterrupted operation, error-free operation, and that the Service will achieve any specific outcome (including but not limited to a specific number of reviews, ranking improvements, conversion rates, or business growth).

11. Limitation of Liability

To the maximum extent permitted by applicable law, the total cumulative liability of TapReview and its officers, employees, agents, and affiliates arising from or relating to the Service is capped at the lower of (a) the fees paid to us by you in the twelve (12) months preceding the event giving rise to the claim, or (b) Rupees Ten Thousand (₹10,000). In no event shall we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. including without limitation lost profits, lost revenue, lost data, lost goodwill, business interruption, or cost of substitute services. even if advised of the possibility of such damages. This limitation does not apply to liabilities that cannot be limited under applicable Indian law, including liability arising from gross negligence, willful misconduct, or statutory obligations under the Digital Personal Data Protection Act, 2023.

12. Indemnification

You agree to defend, indemnify, and hold harmless TapReview and its officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Service; (b) your Content; (c) your interactions with End Customers; (d) your violation of these Terms or any applicable law; (e) any third-party claim that your Content or your use of the Service infringes their rights; (f) any claim arising from your failure to obtain required consents from End Customers.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access for: violation of these Terms, non-payment, suspected abuse, security incidents, or to comply with legal requests. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination. including Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution. survive termination.

14. Suspension

We may suspend access to the Service for non-payment, suspected abuse, security incidents, or to comply with legal requests. We will use reasonable efforts to notify you of suspension and the reason, except where notice would compromise an investigation or violate law.

15. Changes to Service or Terms

We may modify the Service at any time, including adding, changing, or removing features. We may modify these Terms with reasonable notice; material changes will be communicated via dashboard banner or email at least 14 days before the effective date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to the arbitration clause below, the courts of Ahmedabad, Gujarat, India have exclusive jurisdiction over any dispute arising from or relating to these Terms.

17. Dispute Resolution & Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service. including the validity, interpretation, breach, or termination thereof. shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of written notice, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended. The arbitration shall be conducted before a sole arbitrator mutually appointed by the parties. or, failing agreement, appointed in accordance with the Act. The seat and venue of arbitration shall be Ahmedabad, Gujarat, India. The language of arbitration shall be English. The arbitral award shall be final and binding on the parties.

18. Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control. including but not limited to natural disasters, war, terrorism, civil unrest, government action, public health emergencies, internet outages, third-party platform failures (including failures of Google's services), labor disputes, or supply-chain disruptions.

19. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any order forms or addenda agreed to in writing, constitute the entire agreement between you and TapReview regarding the Service. They supersede all prior agreements, whether written or oral, on the subject matter.

21. Limitation Period

Any claim arising from or related to these Terms or the Service must be brought within twelve (12) months of the event giving rise to the claim. After that period, the claim is permanently barred and waived.

TapReview is independent and is not affiliated with, endorsed by, or sponsored by Google LLC. Google, Google Maps, and Google Business Profile are trademarks of Google LLC. Our platform facilitates and encourages the submission of reviews to Google's services on behalf of our customers. All other trademarks referenced on the Service are the property of their respective owners.
